1. Acceptance of Terms

By accessing our website and engaging MLM Glitter ("we", "our", or "us") for OEM/ODM cosmetics manufacturing services, you agree to be bound by these Terms of Service. These terms govern the relationship between Shenzhen Meilianmei Technology Co., Ltd. and our B2B clients ("Client", "you").

2. OEM/ODM Manufacturing & Orders

Minimum Order Quantity (MOQ): Our standard MOQ is 100 units per shade (typically 100 units/shade), unless otherwise explicitly agreed upon in a formal Purchase Order (PO).
Lead Times: Standard sample lead time is 3–7 days after formula and artwork confirmation. Bulk production lead time is 25–35 days after sample approval. Lead times commence only after formal sample approval and receipt of deposit.
Quotations: Price quotes provided via our website, email, or WhatsApp are valid for 30 days. Prices are subject to change based on raw material costs and exchange rate fluctuations.

3. Samples & Formulation

We provide formulation sampling for private label clients. Sample fees may apply and will be credited towards your bulk production order. You are responsible for testing the compatibility of formulas with your custom packaging if you choose to supply your own packaging components.

4. Payment Terms

For standard bulk manufacturing, we require a 30% deposit upon PO confirmation and the remaining 70% balance prior to shipment, unless otherwise negotiated. Accepted payment methods include T/T (Telegraphic Transfer) and verified Letters of Credit (L/C) for large scale orders.

5. Intellectual Property & Confidentiality

Client IP: You retain all intellectual property rights to your brand, logos, and proprietary custom formulations provided to us. We will not disclose your brand formulas to third parties.
Factory IP: MLM Glitter retains the intellectual property rights to our proprietary stock formulations (white-label). You may not patent or claim ownership over our stock formulas.
NDAs: We are fully willing to sign Non-Disclosure Agreements (NDAs) prior to commencing any custom formulation or sensitive manufacturing project.

6. Quality Control & Liability

We manufacture in strict compliance with industry manufacturing standards. It is the Client's responsibility to ensure that the cosmetic products comply with the regulatory requirements of the destination country (e.g., FDA in the USA, CPNP in the EU). Our liability for defective goods is limited to the replacement of the defective products or a refund of the purchase price.

7. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the People's Republic of China. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Shenzhen, China.
